• Attempt to gain unauthorized access to any portion of the Site, server infrastructure, or related systems;
• Introduce any viruses, Trojan horses, worms, malware, spyware, or other malicious or harmful code;
• Engage in denial-of-service attacks or any other attacks intended to disrupt the normal functioning of the Site;
• Circumvent, disable, or otherwise interfere with any security features of the Site;
• Use the Site to send unsolicited communications, spam, or promotional content to other users or third parties;

• Place orders with no intention of completing payment or accepting delivery.

Wing Snob reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including reporting such users to law enforcement authorities. We may suspend or permanently terminate access to our Services for users who engage in prohibited activities.

5. Ordering, Payment, and Pricing

5.1 Placing Orders

When you place an order through wingsnob-meal.click, you are making an offer to purchase the selected menu items subject to these Terms. All orders are subject to acceptance by Wing Snob. We reserve the right to refuse or cancel any order for any reason, including but not limited to unavailability of items, pricing errors, or suspected fraudulent activity. In the event that your order is cancelled after payment has been processed, we will issue a full refund to your original payment method.

5.2 Pricing

All prices displayed on our Site are in United States Dollars (USD) and are subject to applicable sales tax as required by law. Prices may vary based on your location and are subject to change without prior notice. The price you see at the time of checkout is the price you will be charged, excluding applicable taxes, delivery fees, and any other charges disclosed at the time of order.

5.3 Payment Processing

We accept various forms of payment as indicated on our Site at the time of purchase. By providing your payment information, you represent and warrant that: (a) you are authorized to use the designated payment method; (b) you authorize us to charge your payment method for the total amount of your order, including taxes and fees; and (c) the payment information you provide is accurate and complete.

Payment processing is handled by third-party payment processors. We do not store your complete payment card information on our servers. By submitting payment information, you also agree to the terms and conditions of our payment processing partners.

5.4 Refunds and Cancellations

If you need to cancel or modify an order, please contact us immediately at [email protected]. Cancellations may not be possible once an order has been confirmed and preparation has begun. Our refund policy is as follows: if the order has not yet been prepared, a full refund will be issued. If an order is incorrect or defective due to our error, we will provide a replacement, store credit, or refund at our discretion. We do not issue refunds for customer dissatisfaction based on personal taste preferences.

6. Food Allergens and Dietary Information

Wing Snob takes food safety seriously. However, our food is prepared in kitchens that may handle common allergens, including but not limited to wheat, dairy, eggs, soy, nuts, shellfish, and other allergens. We cannot guarantee that any menu item is completely free from allergen cross-contamination.

It is your responsibility to review allergen and nutritional information before placing an order. If you have severe food allergies or specific dietary requirements, we strongly encourage you to contact us directly at [email protected] before ordering. Wing Snob shall not be liable for any adverse reactions resulting from allergen exposure if you have not notified us of your specific dietary requirements prior to placing your order.

7. Intellectual Property Rights

The Site and all of its content, features, and functionality — including but not limited to all text, graphics, logos, images, photographs, video content, audio clips, digital downloads, data compilations, menus, recipes, branding elements, trade dress, software, and the compilation thereof — are the exclusive property of Wing Snob and are protected by United States and international copyright, trademark, trade dress, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in or to the Site or any content therein. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, sell, or exploit any material on our Site without the prior express written consent of Wing Snob, except as follows:

• Your computer may temporarily store copies of materials in RAM incidental to your accessing and viewing those materials;

The Wing Snob name, logo, and all related names, logos, product and service names, designs, slogans, and trade dress are trademarks of Wing Snob or its affiliates and licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• WARRANTIES AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE OR SERVICES;

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WING SNOB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, SUBCONTRACTORS, SUPPLIERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS;
• PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER;
• UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR PERSONAL INFORMATION;
• INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE;
• BUGS, VIRUSES, TROJAN HORSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SITE BY ANY THIRD PARTY;
• ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WING SNOB'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO WING SNOB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN WING SNOB AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN SUCH CASES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob, its officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use of the Site or Services, including any data or content you transmit or receive;
• Your violation of any third-party rights, including intellectual property rights, privacy rights, or publicity rights;
• Your violation of any applicable federal, state, local, or international law or regulation;
• Any claim that your use of the Services caused damage to a third party;
• Any misrepresentation made by you in connection with your use of the Site;
• Any content or information you submit, post, or transmit through the Site.

Wing Snob reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

13. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Wing Snob operates, without regard to its conflict of law provisions or your actual state or country of residence.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal or state courts located in the United States, and you irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

Wing Snob makes no representation that the Site or Services are appropriate or available for use in locations outside of the United States. If you access the Site from outside the United States, you do so at your own initiative and are responsible for compliance with applicable local laws.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to contact Wing Snob at [email protected] and attempt to resolve the dispute informally. Wing Snob will make reasonable efforts to resolve any dispute, claim, question, or disagreement directly through informal negotiation. Most concerns can be resolved quickly and to the customer's satisfaction this way. Both parties agree to negotiate in good faith for a period of at least thirty (30) days before proceeding to formal arbitration.

14.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally settled by binding arbitration administered in the United States in accordance with the rules of the American Arbitration Association (AAA) then in effect. The arbitration shall be conducted in English. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND WING SNOB EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND WING SNOB EACH WAIVE ANY RIGHT TO A JURY TRIAL AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

15. Term and Termination

These Terms shall remain in full force and effect while you use the Site or Services. Wing Snob reserves the right, at its sole discretion and without notice or liability, to:

• Deny access to the Site or Services to any person for any reason;
• Terminate or suspend your account and access to the Site and Services immediately, with or without cause or notice;
• Remove or disable any content on the Site at any time for any reason.

Grounds for termination may include, without limitation: breach of these Terms, conduct that we believe is harmful to other users, third parties, or the business interests of Wing Snob; requests from law enforcement or government agencies; extended periods of inactivity; unexpected technical or security issues; or fraudulent, deceptive, or illegal activity.

The following sections shall survive any termination of these Terms: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution, and any other provision that by its nature should survive termination.

16. Changes to Terms of Service

Wing Snob reserves the right to revise and update these Terms of Service from time to time at our sole discretion. All changes are effective immediately when we post them on the Site. We will update the "Last Updated" date at the top of this page to reflect the date of the most recent revision.

You are expected to check this page frequently so you are aware of any changes, as they are binding upon you.

17. Severability

If any provision of these Terms of Service is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect. The invalidity or unenforceability of any provision shall not affect any other provision of these Terms, and the Terms shall be construed as if such invalid or unenforceable provision had never been contained herein, provided that the fundamental intent and economic arrangement of the parties under these Terms can still be given effect.

In the event that a court finds that a provision is unenforceable as written, the parties agree that the court should modify such provision to the minimum extent necessary to make it enforceable while preserving the original intent of the parties as closely as possible.

18. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by Wing Snob on the Site, constitute the entire agreement between you and Wing Snob with respect to your use of the Site and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

No waiver by Wing Snob of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by Wing Snob to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver of any right shall only be effective if it is in writing and signed by an authorized representative of Wing Snob.

19. Force Majeure

Wing Snob shall not be liable for any delay or failure to perform our obligations under these Terms to the extent that such delay or failure results from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics or public health emergencies, war, terrorism, riots, civil unrest, government actions or restrictions, embargoes, labor disputes, strikes, internet or telecommunications outages, power failures, fire, flood, or any other extraordinary and unforeseeable circumstances ("Force Majeure Events").

In the event of a Force Majeure Event, Wing Snob will make reasonable efforts to notify you and resume normal operations as soon as practicable. If a Force Majeure Event prevents us from fulfilling your order, we will provide you with a refund to the extent that services could not be rendered.

20. Electronic Communications

By using our Site and Services, you consent to receiving electronic communications from Wing Snob. These communications may include notices about your account, order confirmations, promotional offers, newsletters, and other information about our products and services. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
